By accessing, using, installing, registering for, or interacting with any part of the Pingkerly platform \u2014 including but not limited to pingker.com, beta.pingker.com, app.pingker.com, and related services (collectively, \u201cPingkerly\u201d, \u201cwe\u201d, \u201cus\u201d, or \u201cour\u201d) \u2014 you (\u201cyou\u201d or \u201cUser\u201d) agree to the following legally binding Terms of Service (\u201cTerms\u201d).<\/p><p class=\"\" data-start=\"1191\" data-end=\"1254\">If you do not agree with these Terms, <strong data-start=\"1229\" data-end=\"1253\">do not use Pingkerly<\/strong>.<\/p><hr class=\"\" data-start=\"1256\" data-end=\"1259\" \/><p data-start=\"1261\" data-end=\"1301\"><strong>1. Eligibility &amp; Age Requirements<\/strong><\/p><p class=\"\" data-start=\"1302\" data-end=\"1339\">By using Pingkerly, you confirm that:<\/p><ul data-start=\"1341\" data-end=\"1609\"><li class=\"\" data-start=\"1341\" data-end=\"1417\"><p class=\"\" data-start=\"1343\" data-end=\"1417\">You are at least 13 years old (or older if required by your jurisdiction).<\/p><\/li><li class=\"\" data-start=\"1418\" data-end=\"1480\"><p class=\"\" data-start=\"1420\" data-end=\"1480\">If under 18, you have received parental or guardian consent.<\/p><\/li><li class=\"\" data-start=\"1481\" data-end=\"1542\"><p class=\"\" data-start=\"1483\" data-end=\"1542\">You are legally capable of entering into binding contracts.<\/p><\/li><li class=\"\" data-start=\"1543\" data-end=\"1609\"><p class=\"\" data-start=\"1545\" data-end=\"1609\">You are not barred from using our services under applicable law.<\/p><\/li><\/ul><hr class=\"\" data-start=\"1611\" data-end=\"1614\" \/><p data-start=\"1616\" data-end=\"1661\"><strong>2. Your Account &amp; Security Obligations<\/strong><\/p><ul data-start=\"1663\" data-end=\"2078\"><li class=\"\" data-start=\"1663\" data-end=\"1756\"><p class=\"\" data-start=\"1665\" data-end=\"1756\">You are solely responsible for maintaining the confidentiality of your account credentials.<\/p><\/li><li class=\"\" data-start=\"1757\" data-end=\"1876\"><p class=\"\" data-start=\"1759\" data-end=\"1876\">You are fully responsible for any and all activities that occur under your account, whether authorized by you or not.<\/p><\/li><li class=\"\" data-start=\"1877\" data-end=\"2078\"><p class=\"\" data-start=\"1879\" data-end=\"2078\">We reserve the right to suspend, terminate, or restrict access to your account if we believe it has been compromised, misused, or involved in any activity that violates these Terms or applicable law.<\/p><\/li><\/ul><hr class=\"\" data-start=\"2080\" data-end=\"2083\" \/><p data-start=\"2085\" data-end=\"2122\"><strong>3. Acceptable Use Policy (AUP)<\/strong><\/p><p class=\"\" data-start=\"2124\" data-end=\"2145\">You agree <strong data-start=\"2134\" data-end=\"2141\">not<\/strong> to:<\/p><ul data-start=\"2147\" data-end=\"2592\"><li class=\"\" data-start=\"2147\" data-end=\"2211\"><p class=\"\" data-start=\"2149\" data-end=\"2211\">Harass, stalk, abuse, threaten, impersonate, or defame anyone.<\/p><\/li><li class=\"\" data-start=\"2212\" data-end=\"2314\"><p class=\"\" data-start=\"2214\" data-end=\"2314\">Upload, transmit, or share content that is illegal, offensive, pornographic, hateful, or misleading.<\/p><\/li><li class=\"\" data-start=\"2315\" data-end=\"2371\"><p class=\"\" data-start=\"2317\" data-end=\"2371\">Introduce viruses, bots, worms, or malicious software.<\/p><\/li><li class=\"\" data-start=\"2372\" data-end=\"2458\"><p class=\"\" data-start=\"2374\" data-end=\"2458\">Reverse-engineer, decompile, or otherwise attempt to access Pingkerly\u2019s source code.<\/p><\/li><li class=\"\" data-start=\"2459\" data-end=\"2516\"><p class=\"\" data-start=\"2461\" data-end=\"2516\">Use Pingkerly to violate the law or third-party rights.<\/p><\/li><li class=\"\" data-start=\"2517\" data-end=\"2592\"><p class=\"\" data-start=\"2519\" data-end=\"2592\">Use automation or scraping tools on Pingkerly without written permission.<\/p><\/li><\/ul><p class=\"\" data-start=\"2594\" data-end=\"2674\">Violation of this AUP may result in immediate account suspension or termination.<\/p><hr class=\"\" data-start=\"2676\" data-end=\"2679\" \/><p data-start=\"2681\" data-end=\"2715\"><strong>4. User Content &amp; Licensing<\/strong><\/p><p class=\"\" data-start=\"2717\" data-end=\"3046\">You retain full ownership of the content you create, share, or upload via Pingkerly (\u201cUser Content\u201d). However, by using our service, you grant us a <strong data-start=\"2865\" data-end=\"2930\">non-exclusive, worldwide, royalty-free, sublicensable license<\/strong> to use, host, display, reproduce, and transmit your content <strong data-start=\"2991\" data-end=\"2999\">only<\/strong> as necessary to operate and improve Pingkerly.<\/p><p class=\"\" data-start=\"3048\" data-end=\"3176\">We <strong data-start=\"3051\" data-end=\"3066\">do not sell<\/strong> your User Content. You may delete your content, but residual copies may remain in backups for a limited time.<\/p><hr class=\"\" data-start=\"3178\" data-end=\"3181\" \/><p data-start=\"3183\" data-end=\"3216\"><strong>5. Privacy &amp; Data Handling<\/strong><\/p><p class=\"\" data-start=\"3218\" data-end=\"3396\">Use of Pingkerly is also governed by our Privacy Policy, which explains how we collect, store, and process personal data. By using Pingkerly, you consent to this processing.<\/p><p class=\"\" data-start=\"3398\" data-end=\"3585\">We do <strong data-start=\"3404\" data-end=\"3411\">not<\/strong> sell personal data. We do <strong data-start=\"3438\" data-end=\"3445\">not<\/strong> read your private messages, except in rare cases involving safety, abuse reports, or legal compliance (see the Privacy Policy for details).<\/p><hr class=\"\" data-start=\"3587\" data-end=\"3590\" \/><p data-start=\"3592\" data-end=\"3632\"><strong>6. Third-Party Content &amp; Services<\/strong><\/p><p class=\"\" data-start=\"3634\" data-end=\"3728\">Pingkerly may link to or embed content from third-party sites. We are <strong data-start=\"3704\" data-end=\"3723\">not responsible<\/strong> for:<\/p><ul data-start=\"3730\" data-end=\"3859\"><li class=\"\" data-start=\"3730\" data-end=\"3786\"><p class=\"\" data-start=\"3732\" data-end=\"3786\">The availability or accuracy of such external content.<\/p><\/li><li class=\"\" data-start=\"3787\" data-end=\"3859\"><p class=\"\" data-start=\"3789\" data-end=\"3859\">Any damages or losses resulting from your use of third-party services.<\/p><\/li><\/ul><p class=\"\" data-start=\"3861\" data-end=\"3948\">You interact with third-party content at your own risk and under their terms, not ours.<\/p><hr class=\"\" data-start=\"3950\" data-end=\"3953\" \/><p data-start=\"3955\" data-end=\"3986\"><strong>7. Termination of Access<\/strong><\/p><p class=\"\" data-start=\"3988\" data-end=\"4037\">We reserve the right, at our sole discretion, to:<\/p><ul data-start=\"4039\" data-end=\"4203\"><li class=\"\" data-start=\"4039\" data-end=\"4112\"><p class=\"\" data-start=\"4041\" data-end=\"4112\">Suspend or terminate your access to Pingkerly (with or without notice).<\/p><\/li><li class=\"\" data-start=\"4113\" data-end=\"4146\"><p class=\"\" data-start=\"4115\" data-end=\"4146\">Remove or restrict any content.<\/p><\/li><li class=\"\" data-start=\"4147\" data-end=\"4203\"><p class=\"\" data-start=\"4149\" data-end=\"4203\">Enforce our Terms, Privacy Policy, and Community Code.<\/p><\/li><\/ul><p class=\"\" data-start=\"4205\" data-end=\"4341\">We may terminate accounts for violations, legal reasons, inactivity, or security concerns. You may also delete your account at any time.<\/p><hr class=\"\" data-start=\"4343\" data-end=\"4346\" \/><p data-start=\"4348\" data-end=\"4388\"><strong>8. Limitation of Liability<\/strong><\/p><p class=\"\" data-start=\"4952\" data-end=\"4991\">TO THE MAXIMUM EXTENT PERMITTED BY LAW:<\/p><ul data-start=\"4993\" data-end=\"5421\"><li class=\"\" data-start=\"4993\" data-end=\"5286\"><p class=\"\" data-start=\"4995\" data-end=\"5286\">PINGKERLY, ITS EMPLOYEES, OFFICERS, DIRECTORS, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR <strong data-start=\"5091\" data-end=\"5164\">ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES<\/strong>, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF PINGKERLY.<\/p><\/li><li class=\"\" data-start=\"5287\" data-end=\"5421\"><p class=\"\" data-start=\"5289\" data-end=\"5421\">IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED <strong data-start=\"5338\" data-end=\"5386\">THE AMOUNT YOU PAID US IN THE LAST 12 MONTHS<\/strong>, OR <strong data-start=\"5391\" data-end=\"5398\">$10<\/strong>, WHICHEVER IS GREATER.<\/p><\/li><\/ul><hr class=\"\" data-start=\"5423\" data-end=\"5426\" \/><p data-start=\"5428\" data-end=\"5454\"><strong>10. Arbitration &amp; Dispute Resolution<\/strong><\/p><p class=\"\" data-start=\"5888\" data-end=\"6070\">Unless prohibited by law, all disputes will be resolved through <strong data-start=\"5952\" data-end=\"5986\">binding individual arbitration<\/strong>, not in court. You waive your right to a jury trial and class action participation.<\/p><ul data-start=\"6072\" data-end=\"6239\"><li class=\"\" data-start=\"6072\" data-end=\"6169\"><p class=\"\" data-start=\"6074\" data-end=\"6169\">Arbitration will be administered under the rules of the American Arbitration Association (AAA).<\/p><\/li><li class=\"\" data-start=\"6170\" data-end=\"6239\"><p class=\"\" data-start=\"6172\" data-end=\"6239\">The proceedings will take place in <strong data-start=\"6207\" data-end=\"6226\">California, USA<\/strong>, in English.<\/p><\/li><\/ul><p class=\"\" data-start=\"6241\" data-end=\"6341\"><strong data-start=\"6241\" data-end=\"6341\">You agree to resolve disputes with us individually. Governing Law &amp; Jurisdiction<\/strong><\/p><p class=\"\" data-start=\"6389\" data-end=\"6530\">These Terms are governed by and interpreted under the laws of the <strong data-start=\"6455\" data-end=\"6483\">State of California, USA<\/strong>, without regard to conflict-of-law principles.<\/p><p class=\"\" data-start=\"6532\" data-end=\"6761\">If arbitration is not enforceable in your jurisdiction, any disputes shall be resolved in the <strong data-start=\"6626\" data-end=\"6697\">state or federal courts located in San Francisco County, California<\/strong>, and you consent to the jurisdiction and venue of those courts.<\/p><hr class=\"\" data-start=\"6763\" data-end=\"6766\" \/><p data-start=\"6768\" data-end=\"6801\"><strong>13. Changes to These Terms<\/strong><\/p><p class=\"\" data-start=\"6803\" data-end=\"7006\">We may update these Terms at any time. If we make material changes, we\u2019ll do our best to notify you (via app notice or email). Continued use of Pingkerly after changes means you accept the updated Terms.<\/p><hr class=\"\" data-start=\"7008\" data-end=\"7011\" \/><p data-start=\"7013\" data-end=\"7048\"><strong>14. Severability &amp; No Waiver<\/strong><\/p><p class=\"\" data-start=\"7050\" data-end=\"7209\">If any part of these Terms is found unenforceable, the rest still applies. Our failure to enforce a provision is not a waiver of our right to enforce it later.<\/p><hr class=\"\" data-start=\"7211\" data-end=\"7214\" \/><p data-start=\"7216\" data-end=\"7243\"><strong>15. Entire Agreement<\/strong><\/p><p class=\"\" data-start=\"7245\" data-end=\"7492\">These Terms, together with our Privacy Policy and Community Code, constitute the <strong data-start=\"7326\" data-end=\"7346\">entire agreement<\/strong> between you and Pingkerly regarding your use of the service.
